MIAOW MIAOW’S ANTI-BRIBERY AND CORRUPTION POLICY STATEMENT

Desa Southern Food Products Sdn. Bhd. and its affiliate companies together referred to as Miaow Miaow Group of Companies (hereinafter “Miaow Miaow”) recognises that integrity and trust are of utmost importance in sustaining Miaow Miaow’s business. Miaow Miaow has a zero-tolerance policy with regards to giving or receiving any form of gratification, including but not limited to bribes and favours. In compliance with the Malaysian Anti-Corruption Commission Act 2009 (“the Act”) (including any amendments thereof), Miaow Miaow is committed to preventing bribery and corruption by also adopting the T.R.U.S.T principles being: Top Level Commitment (T), Risk Assessment (R), Undertake Control Measures (U), Systemic Review, Monitoring And Enforcement & Training and Communication (T) as provided for in the “Guidelines on Adequate Procedures” issued by the Prime Minister’s Department made pursuant to the Act.


ANTI-BRIBERY AND CORRUPTION POLICY & GUIDELINES

Miaow Miaow has implemented the Anti-Bribery and Corruption Policy & Guidelines which provides Miaow Miaow’s directors, employees and business associates with structured guidelines on how to deal with improper solicitation, bribery and other corrupt activities and issues that may arise in the course of business. Miaow Miaow strictly prohibits both the giving and receiving of gifts and hospitality aimed at influencing business decisions. As part of Miaow Miaow’s commitment to combat bribery, Miaow Miaow will only engage with third parties who uphold and support Miaow Miaow’s stance against bribery and corruption.


DEALING WITH THIRD PARTIES

As outlined in Miaow Miaow’s Anti-Bribery and Corruption Policy & Guidelines, all of Miaow Miaow’s employees are committed to combatting bribery and corruption. Miaow Miaow expects all third parties who engages in business dealings with Miaow Miaow, including but not limited to suppliers, contractors, agents, consultants, outsourced personnel, distributors, advisers, Government and public bodies including their advisors, representatives and officials to conduct themselves in a manner that conforms with our Anti-Bribery and Corruption Policy & Guidelines.


WHISTLEBLOWING POLICY
Miaow Miaow has also implemented the Whistleblowing Policy that sets out the mechanism and framework by which employees, directors, shareholders, contractors, consultants, vendors, suppliers, external agencies and any other individuals or organisation with a business relationship with Miaow Miaow is able to confidently report genuine concerns and/or complaints about a dangerous or illegal activity or improper conduct that he or she is aware of through his/her/her work/dealing in a responsible manner without the fear of receiving any discriminatory treatment.
